These terms are effective as at 23 June 2021.
1 Introduction
These terms apply if your Subscription includes Aero Ranger hardware, including for example:
(a)Chariot edgeAI ANPR module;
(b)ANPR trailer;
(c)mounted tower;
(d)camera; and
(e)accessories.
2 Definitions
In these terms:
Hardware means hardware, devices and equipment owned by Aero Ranger and supplied to you for use as part of your Subscription.
Order Form has the meaning given in clause 3.
3 Acceptance of Order Form and terms
(a)We will supply you Hardware on terms set out in an order form (Order Form), including:
(i)a description of the Hardware to be supplied;
(ii)your delivery address;
(iii)delivery fees;
(iv)the expected delivery date;
(v)the Subscription associated with the Hardware;
(vi)any prepayment required; and
(vii)any Minimum Commitment.
(b)By accepting an Order Form you agree to these terms.
4 Delivery
Once any applicable prepaid or delivery amounts are received, we will arrange for delivery of the hardware to your address as set out in the Order Form.
5 Delayed delivery
Delivery may be delayed by circumstances outside our control. If delivery is delayed:
(a)more than seven days, then payments for any Subscription that depends on use of the Hardware will be suspended until the Hardware is delivered; and
(b)more than 60 days, then you may elect to cancel the order and receive a refund of any amounts already paid.
6 Installation and maintenance
(a)Unless otherwise agreed, you are responsible for installing the Hardware.
(b)You agree to install and maintain Hardware in accordance with our reasonable instructions and directions.
7 Permitted use
You agree to use the Hardware only for lawful purposes as:
(a)described in the Order Form;
(b)described in the applicable product description that is on our website or otherwise given to you by us; and
(c)otherwise agreed by us in writing.
8 Service and support
We will provide you with prompt and professional service and support. Please do not hesitate to contact us at any time at support@aeroranger.com or call us on 1300 267 837.
9 Replacement and substitution of Hardware and parts
You agree that we may at any time replace the Hardware, or any component parts, with different Hardware which we reasonably consider provides the same or better features and functionality.
10 Damage, destruction or loss of Hardware
(a)You are responsible for taking reasonable precautions to ensure that the Hardware is kept secure from damage, destruction or loss.
(b)We may decline to service or replace Hardware where we reasonably determine that it has been damaged, destroyed or lost through:
(i)a failure to take precautions as required by clause (a); or
(ii)your wilful actions or negligence.
(c)If we make a determination under clause (b) then we may require you to pay out your Minimum Commitment or other fees (as applicable) set out in the Order Form or the General Terms.
11 Ending this agreement
11.1 How you can end this agreement
(a)You can end this agreement by written notice to us.
(b)If you end the agreement before completing any applicable Minimum Commitment, then additional fees may be payable in accordance with your Order Form and the General Terms.
11.2. What happens when this agreement ends
Once this agreement ends you agree to return the Hardware to us at our request. If we require return of the Hardware then we will arrange shipping at our cost.
12 Confidentiality
The terms of the Order Form are confidential.
13 General
13.1 Incorporation of Order Form
The applicable Order Form forms part of this agreement.
13.2 Relationship to General terms
(a)These terms apply in addition to the General Terms and override the General Terms to the extent of any inconsistency.
(b)Any term capitalised in these terms that is not defined in these terms but is defined in the General Terms has the meaning given in the General Terms.
13.3 Customs duties, excise and taxes
Unless specified in an Order Form, you are solely responsible for paying any customs duties, excise and taxes payable on Hardware delivery.
13.4 Security interests
You agree that we may register security interests over any Hardware at any time, including under the Personal Property and Securities Act 2009 (Cth).
